Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website located at tele.clinic and the telehealth services provided by Teleclinic Holdings LLC ("TeleClinic", "Company", "we", "us", or "our"). By using our website or services, you agree to be bound by these Terms. If you do not agree, do not use our services.

1. Nature of services

Teleclinic Holdings LLCis a telehealth technology company that operates an online platform connecting patients with independent, licensed healthcare providers ("Providers"). TeleClinic does not practice medicine, employ physicians, or provide medical services directly.

All clinical decisions, diagnoses, and prescriptions are made solely and independently by the Providers. TeleClinic is not responsible for the medical judgment or clinical outcomes of independent Providers.

Use of our services does not create a physician-patient relationship with Teleclinic Holdings LLC. A physician-patient relationship is formed solely between you and the independent Provider assigned to your care.

2. Eligibility

To use our services, you must:

— Be at least 18 years of age

— Be a resident of a US state in which our services are available

— Not be using our services on behalf of a third party

— Provide accurate, complete, and current information in your intake questionnaire

Providing false or misleading medical information is a serious safety risk and may result in immediate termination of your account and prescription.

3. Medical disclaimer

Our services facilitate access to prescription medication and do not constitute medical advice, diagnosis, or treatment by Teleclinic Holdings LLC. All medications prescribed through our platform are prescription drugs that require evaluation by a licensed physician.

Compounded medications dispensed through our partner pharmacies are not FDA-approved finished drug products. FDA approval means a drug has been evaluated for safety, efficacy, and quality as a finished product. Compounded medications may differ from FDA-approved drugs in potency, purity, and appearance.

Individual results vary. Weight loss results are not guaranteed. GLP-1 medications are most effective as part of a comprehensive program including dietary changes and physical activity.

4. Subscriptions, billing, and cancellation

Our services are offered on a subscription basis. Subscriptions automatically renew unless cancelled before the renewal date. Prices are as stated at the time of enrollment and are subject to the price-lock terms provided at signup.

You may cancel your subscription at any time through the patient portal or by contacting support@tele.clinic. Cancellations take effect at the end of the current billing period. We do not provide prorated refunds for partial subscription periods unless otherwise required by law.

If a physician determines you are not a candidate for treatment after clinical evaluation, you will not be charged for the medication subscription. A consultation fee may apply as permitted by state law.

5. Prescription policy

Prescriptions are issued solely at the discretion of the independent licensed physician. TeleClinic does not guarantee that a prescription will be issued following your intake evaluation. Physicians may decline to prescribe for any clinical reason, including but not limited to: contraindicated medical conditions, inadequate medical history, or failure to meet clinical criteria for treatment.

6. User responsibilities

By using our services, you agree to:

— Provide truthful, complete medical history information

— Disclose all current medications to your physician

— Use prescription medications only as directed by your Provider

— Not share your prescription medication with others

— Promptly notify your Provider of any adverse reactions or side effects

— Maintain a secure login and not share account credentials

7. Intellectual property

All content on tele.clinic, including text, graphics, logos, and software, is the property of Teleclinic Holdings LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

8. Limitation of liability

To the maximum extent permitted by law, Teleclinic Holdings LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, goodwill, or health outcomes, arising out of or in connection with your use of our services.

Our total liability to you for any claims arising from these Terms or your use of our services shall not exceed the total amount you paid to us in the 12 months preceding the claim.

9. Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles. Any disputes arising from these Terms or our services shall be resolved by binding arbitration in New York County, New York, under the rules of the American Arbitration Association. You waive any right to participate in a class action lawsuit or class-wide arbitration.

10. Changes to terms

We reserve the right to modify these Terms at any time. Material changes will be communicated to you via email at least 30 days before taking effect. Your continued use of our services after the effective date of the revised Terms constitutes your acceptance.
